Welcome to Nth°Ops (“Service”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of the SaaS applications, websites, and related services, including LifecycleIQ and GTM Audit.

By using our services, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Nth°Ops provides the following services:

LifecycleIQ provides analytics and reporting for HubSpot CRM data through read-only API access to user-authorized HubSpot accounts. The Service displays lifecycle stage metrics, deal pipeline analytics, cohort analysis, and goal tracking based on retrieved HubSpot data.

GTMAudit provides auditing and analysis of Google Tag Manager (GTM) configurations through read-only API access to user-specified GTM accounts and containers. The Service may store results in Google Sheets and generate audit summaries, documentation, and recommendations based on retrieved GTM configurations.

2. Account Authorization and Access

To use our Services, you must authorize access through OAuth authentication with the applicable third-party platform. 

For LifecycleIQ:

• You must authorize read-only access to your HubSpot account through HubSpot OAuth.
• The Service only accesses HubSpot data (contacts, companies, deals, lifecycle stages) for the account you explicitly authorize.
• You may revoke access at any time through your HubSpot account settings or within the LifecycleIQ application.

For GTMAudit:

• You must authorize access to your Google Account and Google Tag Manager data through Google OAuth authentication.
• The Service only accesses GTM data for the accounts and containers you explicitly select.
• The Service uses read-only access to retrieve GTM configuration data.
• You may revoke access at any time through your Google Account settings.

3. License and Usage

Upon purchase or activation of a license key, you are granted a limited, non-transferable, non-exclusive license to access and use the Service for your internal business or personal use, subject to these Terms.

You may not:

• Resell or sublicense the Service.

• Attempt to reverse engineer or duplicate the Service.

• Interfere with or disrupt the operation of the Service.

4. Data Privacy

For LifecycleIQ:

• The Service accesses HubSpot data necessary to display analytics as requested by the user.
• HubSpot data may be cached in our database (hosted on Supabase) to improve performance and enable historical analysis.
• You retain ownership of your HubSpot data; we only process it to provide the Service.

For GTMAudit:

• The Service only accesses data necessary to perform audits as requested by the user.
• Audit data may be stored temporarily or permanently in the user's own Google Sheets account as part of the Service functionality.

General:

• We do not share or sell user data to third parties.

5. Subscription, Billing, and Cancellation

• Access to paid features requires a valid subscription purchased through our payment provider (Lemon Squeezy).
• Free tiers may be offered with limited functionality.
• Subscriptions renew automatically according to the billing terms you select at purchase.
• You may cancel your subscription at any time through your account settings or by contacting support.
• Cancellation takes effect at the end of your current billing period; no prorated refunds are provided.
• Failure to maintain a valid subscription may result in loss of access to paid features.

6. Service Availability and Changes

We reserve the right to modify or discontinue the Service, temporarily or permanently, with or without notice. We are not liable for any loss of access or data due to service interruptions, updates, or discontinuation.

7. Disclaimers

The Services are provided "as is" without warranties of any kind, including but not limited to accuracy, completeness, or fitness for a particular purpose.

For LifecycleIQ: We display data as retrieved from HubSpot. We make no guarantees regarding the accuracy of HubSpot data or any business decisions made based on analytics provided.

For GTMAudit: We make no guarantees regarding your use of audit results or GTM configurations.

8. Limitation of Liability

In no event shall Nth°Ops or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to lost profits, lost data, or business interruption.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. Upon termination:

• Your right to use the Services ceases immediately.
• We may delete your account data after a reasonable retention period.
• You may request export of your data prior to termination by contacting support.

10. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions.
